Affiliate Agreement

This Affiliate Agreement (the "Agreement") is entered into by and between Metro Matrimony ("Company") and the individual or entity agreeing to participate ("Affiliate") in the Company's Affiliate Program (collectively referred to as the "Parties"). By applying for and participating in the program, Affiliate agrees to be bound by the terms of this Agreement. If Affiliate does not agree to these terms, participation in the Affiliate Program is not permitted.

Recitals

WHEREAS, Affiliate wishes to promote Company’s products and services and include links to Company’s website on Affiliate’s platform;

WHEREAS, Company agrees to provide Affiliate with specific promotional materials for this purpose under the terms and conditions set forth below;

NOW, THEREFORE, in consideration of the mutual promises and obligations contained herein, the Parties agree as follows:

1. Promotional Materials

The Company will provide Affiliate with banners, text links, button links, and/or other graphical or textual promotional materials (the "Promotional Materials") for display on the Affiliate's website or other approved platforms. The Affiliate agrees to:

• 1.1 Use only the provided Promotional Materials for promotion of the Company's website and products.
• 1.2 Include a direct link from the Promotional Materials to the Company’s website as specified.
• 1.3 Display the Promotional Materials prominently and in accordance with this Agreement’s terms.

2. Conditions for Use of Promotional Materials

Affiliate agrees to the following conditions regarding the use of Promotional Materials:

• 2.1 Affiliate shall not use any promotional materials other than those provided by the Company unless prior written approval is obtained.
• 2.2 Affiliate may only use the Promotional Materials to promote the Company’s website, products, and services and may not modify them without prior written consent from the Company.
• 2.3 Affiliate’s website or platform shall not:
  1. Contain material that promotes or glorifies sexually explicit content, violence, illegal activities, discrimination, or harassment;
  2. Infringe on intellectual property rights or violate applicable laws;
  3. Be designed in a way that misleads customers into believing it is the Company’s website or an affiliated property.
• 2.4 Company reserves the right to reject or terminate an Affiliate application or participation if the Affiliate’s website or conduct violates these terms.

3. License Grant

Company grants Affiliate a non-exclusive, revocable, and non-transferable license to use the Promotional Materials solely for the purposes set forth in this Agreement. This license terminates immediately upon the expiration or termination of this Agreement.

4. Intellectual Property

All rights, titles, and interests in the Promotional Materials and any associated intellectual property remain the sole property of the Company. Affiliate acknowledges and agrees that no additional rights are granted beyond the limited license provided herein.

5. Relationship of the Parties

Affiliate’s participation in the Affiliate Program does not create an agency, partnership, joint venture, or employment relationship with the Company. Affiliate acts as an independent contractor and has no authority to bind the Company or make representations on its behalf.

6. Commissions

• 6.1 Commission Structure: The Company will pay Affiliate a commission based on a percentage of qualifying sales made by users referred through the Affiliate’s link. The current rate is up to 35% of eligible sales and may be adjusted with prior notice.
• 6.2 Payments: Commissions are:
  1. Subject to a 2-month holding period to account for potential chargebacks.
  2. Paid within 7 days of the first day of each month, provided the accrued balance exceeds $10.00. Balances below this threshold will roll over to subsequent months.
  3. Paid via PayPal or another mutually agreed method.
• Forfeiture of Commissions: If the Affiliate breaches this Agreement, any unpaid commissions will be forfeited, and the Company reserves the right to terminate this Agreement immediately.

7. Representations and Warranties

Affiliate represents and warrants that:

• 7.1 It has the authority to enter into this Agreement.
• 7.2 Its website does not contain objectionable material, including sexually explicit, defamatory, or unlawful content.
• 7.3 It has obtained necessary permissions for any intellectual property used on its platform.
• 7.4 It will not engage in spam or other prohibited advertising practices.

8. Indemnification

Affiliate agrees to indemnify and hold harmless the Company from any claims, damages, or liabilities arising from:

1. Affiliate’s breach of this Agreement;
2. Any misuse of the Promotional Materials; or
3. Violations of intellectual property rights or applicable laws.

9. Confidentiality

Affiliate acknowledges that any non-public information it learns about the Company through this Agreement is considered confidential. Affiliate shall not disclose such information without the Company’s written consent, except as required by law.

10. Term and Termination

• 10.1 This Agreement is effective upon acceptance by the Affiliate and remains in effect until terminated.
• 10.2 Either Party may terminate this Agreement with 60 days’ written notice.
• 10.3 Upon termination, Affiliate shall cease use of all Promotional Materials and remove all Company links from its platform.

11. Taxes

Affiliate is solely responsible for reporting and paying any applicable taxes related to commissions earned under this Agreement.

12. Limitation of Liability

The Company shall not be liable for indirect, incidental, special, or consequential damages arising from Affiliate’s participation in the Affiliate Program.

13. Miscellaneous

• 13.1 Severability: If any provision is deemed invalid, the remaining provisions shall remain enforceable.
• 13.2 Entire Agreement: This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements.
• 13.3 Counterparts: This Agreement may be executed electronically and in multiple counterparts.

By signing up for the Affiliate Program, Affiliate agrees to the terms and conditions set forth in this Agreement.
